These Terms of Service ("Terms") govern your access to and use of the Synkonic platform, website, APIs, and related services (collectively, the "Service") provided by Synkonic ("we," "us," or "our"). Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms or policies referenced herein. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Synkonic is a cloud-based SaaS backup and recovery platform. The Service enables you to connect your third-party SaaS applications -- including Zendesk, Dotloop, DocuSign, Google Workspace, and others -- and perform automated backups, point-in-time restores, data search, and export operations.
We continuously develop and improve the Service. We may add, modify, or discontinue features or functionality at any time, with or without notice. We will endeavor to provide reasonable advance notice for any material changes that may affect your use of the Service.
3. Account Registration
To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials, including passwords and API keys
- All activity that occurs under your account, whether or not authorized by you
- Notifying us immediately at [email protected] if you suspect any unauthorized access to your account
- Ensuring that the information associated with your account remains accurate and up to date
You must be at least 18 years of age to create an account and use the Service.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to store, transmit, or process any data that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks connected to the Service
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Use the Service in any manner that could interfere with, disrupt, or negatively affect the Service or the servers and networks connected to it
- Use the Service to compete with Synkonic or for any benchmarking or competitive analysis without our prior written consent
- Resell, sublicense, or provide access to the Service to any third party without our express written permission
- Use automated scripts to collect information from or otherwise interact with the Service in a manner not expressly authorized
5. Data Ownership
You own your data. All data you upload, back up, or otherwise transmit through the Service ("Customer Data") remains your exclusive property. Synkonic does not claim any ownership rights over your Customer Data.
By using the Service, you grant us a limited, non-exclusive license to access, process, and store your Customer Data solely to provide, maintain, and improve the Service. We will not use your Customer Data for any other purpose, share it with third parties for their independent use, or access it except as necessary to deliver the Service or as required by law.
You may export or delete your Customer Data at any time through your account dashboard. Upon termination of your account, we will delete your Customer Data in accordance with our data retention policy.
6. Service Level Agreement
Synkonic is committed to providing a reliable and highly available Service. We target a monthly uptime of 99.9% for the core backup and restore functionality, excluding scheduled maintenance windows.
In the event that we fail to meet our uptime commitment in a given calendar month, eligible customers may receive service credits as follows:
- 99.0% -- 99.9% uptime: 10% service credit
- 95.0% -- 98.9% uptime: 25% service credit
- Below 95.0% uptime: 50% service credit
Service credits are applied to future billing periods and do not exceed 50% of the monthly fees for the affected service. To request a service credit, you must submit a claim within 30 days of the incident.
7. Payment Terms
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page or in your order form. All fees are:
- Quoted and payable in U.S. Dollars unless otherwise specified
- Due in advance on a monthly or annual basis, as selected
- Non-refundable except as expressly stated in these Terms
- Subject to applicable taxes, which will be added where required
We may change our pricing at any time with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the new billing cycle begins.
If payment fails, we will attempt to notify you and may suspend your access to the Service after a reasonable grace period. We reserve the right to delete your data if your account remains unpaid for more than 90 days.
8. Intellectual Property
The Service, including all software, designs, text, graphics, logos, trademarks, and other content (excluding Customer Data), is the exclusive property of Synkonic and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the term of your subscription, solely for your internal business purposes and in accordance with these Terms.
You may provide feedback, suggestions, or recommendations regarding the Service ("Feedback"). By providing Feedback, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNKONIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO SYNKONIC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free.
10. Termination
You may terminate your account at any time through your account settings or by contacting us at [email protected]. Upon termination:
- Your right to access the Service will cease immediately
- You will be responsible for any outstanding fees incurred prior to termination
- We will retain your Customer Data for up to 30 days to allow you to export it, after which it will be permanently deleted
- Provisions that by their nature should survive termination will remain in effect, including Sections 5, 8, 9, and 11
We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, engage in fraudulent or illegal activity, or if we are required to do so by law. We may also terminate the Service entirely with 90 days' written notice.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by sending you an email notification at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.
